Latino Surgical Society Constitution

ARTICLE I: NAME

The name of the organization shall be the Latino Surgical Society. The organization shall be non-profit and incorporated in the state of Maryland. ARTICLE II: MISSION The Latino Surgical Society was established to cultivate, nurture, and support the advancement of Latino surgeons. To achieve this mission, the Society shall:

  1. Establish programs to improve networking and professional development among Latino surgeons in both clinical community and academic settings.

  2. Create programs to improve the professional development of Latinos, ranging from pipeline development to support during medical school, residency and fellowship training, as well as faculty development in academic surgery. 

  3. Identify and promote professional and intellectual exchange among surgeons and scientists involved in their related fields.

  4. Promote advancement of underrepresented minorities to leadership positions within academic surgery.

  5. Advance initiatives to promote the health and welfare of Latino populations at institutional, local, state, national, and international levels.

  6. Encourage and assist the study of diseases of importance to the Latino community.

  7. Improve the Latino surgical sections and collaborations in other professional medical societies, such as American College of Surgeons, National Hispanic Medical Association, American Medical Association.

ARTICLE III: MEMBERSHIP

Section 1. Classification of Members.

  1. A member of The Latino Surgical Society may be a surgeon of any surgical subspecialty recognized by the American Board of Medical Specialties (ABMS), a surgical fellow or resident-in-training of any surgical subspecialty as defined by the Accreditation Council on Graduate Medical Education (ACGME), a medical student, as defined by the Association of American Medical Colleges (AAMC) or the American Association of Colleges of Osteopathic Medicine (AACOM), or an MD, DO, or PhD researcher.

  2. Eligibility for membership in these categories and membership certification may be further stipulated in the Bylaws of the Society.

  3. Candidate (associate) membership: residents, fellows, and medical students in surgery training are included in this category. Annual dues will be waived.

  4. Emeritus member: members who have reached 65 years of age or retired from active practice or disabled may request to advance to emeritus status and request a waiver of dues.

  5. Affiliate (scientific) membership:

    • Basic or clinical scientists who have their primary research effort in any field of surgery who spend 75% of their working time in surgery-related endeavors.

  6. All members will be elected to membership or associate or affiliate membership, according to the Constitution and Bylaws. Termination of a member by death, resignation, failure to support the Society, or any other manner addressed in the Bylaws will end all rights and privileges in the Society. None of the assets nor privileges shall be transferable to any representative of a member’s estate.

Section 2. Application for Membership. Application for membership shall be made in writing on a form provided by the organization. A letter of recommendation is required for membership. The application shall be forwarded to the secretary. The application shall be reviewed by the membership committee and recommended for approval by the board of directors.

 

Section 3. Dues. All appropriate member categories shall be assessed annual dues as determined by the Board of Directors. Members must maintain their annual dues in order to hold any leadership position in the Society. A lapse in annual dues will place members into an inactive status. Any member in inactive status may be reinstated to active status by paying the then current year dues as well as the reinstatement fee.

ARTICLE III: EXECUTIVE BOARD

 

The officers of the Society shall be President, Vice-President, Secretary, and Treasurer. The President shall be elected for a term of two years. The Vice-President will be elected for yearly terms. The secretary and treasurer shall be elected for three-year terms. This slate of officers will be designated as the Executive Board.

ARTICLE IV: ORGANIZATIONAL STRUCTURE

1. The Society’s organizational structure will consist of General Membership, Executive Board, and the Board of Trustees. The span of authority, rights and, privileges shall be based on the Constitution and Bylaws.

2. The duties, powers, and regulations governing the Society’s organizational structure shall be defined and delineated in the Society’s Bylaws.

ARTICLE VIII: GOVERNANCE Section 1: The Society shall be governed by this Constitution and Bylaws, the latter document to provide specific direction for the organization, administration, and services of the Society. Section 2: The Society’s Constitution shall be consistent with provisions and content of any organizational charter or certificate of incorporation the Society may propose and/or execute.
